TERMS OF SERVICE

OVERVIEW

This website and store are operated by Sawgrass Organics LLC, referred to in these Terms as “Sawgrass Organics,” “we,” “us,” or “our.” Our website, store, content, tools, and products are collectively referred to as the “Services.” Our store is powered by Shopify.

These Terms of Service (“Terms”) govern your use of our website and purchases made through it. By placing an order or otherwise accepting these Terms after being given notice of them and an opportunity to review them, you agree to these Terms. If you do not agree, do not place an order or use the Services.

Our Shipping Policy and Refund Policy supplement these Terms. Our Privacy Policy explains how personal information is handled. Purchases through Amazon or another marketplace are also subject to that marketplace’s applicable terms and policies.

Nothing in these Terms excludes or restricts consumer rights or other rights that cannot lawfully be waived. This protection applies to every section below.

SECTION 1 — ACCESS AND ACCOUNTS

You must be at least the age of majority where you live and legally able to enter into a contract to place an order.

You agree to provide accurate, current, and complete contact, billing, payment, and shipping information. If you create an account, keep your login information secure and notify us promptly of suspected unauthorized access. You are responsible for activity you authorize through your account, subject to applicable law.

You may not transfer your account to another person without our permission.

SECTION 2 — OUR PRODUCTS

We aim to describe our products accurately. Product photographs are illustrative, and colors may appear differently depending on your device and display settings.

Because potting mixes and compost contain natural materials, modest variations in color, texture, and moisture may occur between batches. These variations do not excuse a product that is defective, unsafe, mislabeled, or materially different from its advertised specifications.

We may update descriptions, packaging, availability, and product offerings for future purchases. We will not use later changes to reduce the specifications or promises applicable to an order already accepted, or substitute a materially different product without your agreement.

SECTION 3 — ORDERS

Orders are subject to acceptance and availability. We may decline or cancel an order for legitimate reasons, including unavailable inventory, a material pricing error, suspected fraud, payment problems, or shipping restrictions.

If we cancel a paid order, we will notify you and promptly refund the amount paid for the canceled items, including applicable taxes and any delivery charges attributable to those items. We will not increase an accepted order’s price or materially change its contents without your consent.

Contact us promptly if you need to change or cancel an order. We cannot guarantee changes once processing or shipment has begun. This does not limit your rights under our Refund Policy or applicable law.

Products purchased through our retail store are intended for end use. Please contact us about purchases for resale or export.

SECTION 4 — PRICES AND BILLING

Prices are shown in U.S. dollars unless otherwise stated. Applicable taxes and any optional delivery charges are disclosed at checkout before you submit your order.

We offer free standard shipping on all orders within the contiguous United States. Expedited shipping, if offered and selected, may cost extra.

Prices and promotions may change for future orders. Promotional conditions will be disclosed with the offer. We will not apply later price changes to an accepted order.

You must use a payment method you are authorized to use and provide accurate billing information. We may request reasonable verification before fulfilling an order.

SECTION 5 — SHIPPING AND DELIVERY

We currently ship within the contiguous United States only. We do not ship to Alaska, Hawaii, U.S. territories, or international destinations.

Unless a different timeframe is clearly disclosed before purchase, orders are typically processed for shipment within 1–2 business days. Business days exclude Saturdays, Sundays, and U.S. federal holidays. Carrier transit time is separate from processing time.

Delivery estimates are not guarantees unless a delivery guarantee is expressly offered. If we cannot ship within the applicable promised timeframe, we will notify you and provide any required opportunity to agree to the delay or cancel for a prompt refund.

Please review your address before checkout. Contact us immediately if a correction is needed; changes may not be possible after shipment.

If an order is delayed, damaged, missing, or marked delivered but cannot be located, contact us at support@sawgrassorganics.com. We will help investigate and provide the resolution required by our applicable policies and law. A carrier’s delivery scan does not, by itself, eliminate rights you may have.

We do not automatically transfer all shipping risk to you merely by handing a package to a carrier. Risk of loss is determined by applicable law. Additional shipping details are in our Shipping Policy.

SECTION 6 — INTELLECTUAL PROPERTY

Our original website text, branding, photographs, graphics, designs, and other content are owned by Sawgrass Organics LLC or used with permission from their owners. Customer submissions are addressed in Section 11.

You may browse the website, share links, and retain copies of information reasonably needed for your purchases. Except as permitted by law or these Terms, you may not copy, sell, republish, or commercially exploit our protected content without permission.

Sawgrass Organics names and logos may not be used in a way that infringes our rights or falsely suggests our endorsement. Shopify and other third-party names and logos belong to their respective owners.

SECTION 7 — OPTIONAL TOOLS

We may provide access to optional tools operated by third parties. Those providers may impose their own terms and privacy practices.

To the extent permitted by law, optional third-party tools are provided “as is” and “as available,” without an additional warranty from us. We do not control their availability or operation. Any limitation of our responsibility remains subject to Sections 16 and 17 and applicable law.

SECTION 8 — THIRD-PARTY LINKS

Our website may contain links to websites or services operated by others. A link does not, by itself, mean that we endorse that business or its products.

Review the third party’s terms and policies before using its services or making a purchase. We do not control third-party websites, but nothing in this section excludes responsibility that applicable law places on us.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Sawgrass Organics is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Sawgrass Organics. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Sawgrass Organics, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Sawgrass Organics.

SECTION 10 — PRIVACY

Our Privacy Policy describes how we collect, use, and share personal information and explains available privacy rights.

Shopify also processes information to host and support our store, as described in Shopify’s Privacy Policy. Information may be processed by service providers in other locations, as explained in the relevant privacy policies.

Accepting these Terms does not replace any separate consent required by privacy or marketing laws.

SECTION 11 — REVIEWS AND CUSTOMER SUBMISSIONS

You retain ownership of reviews, photographs, and other content you create. When you submit content for public posting through our website, you grant us a nonexclusive, worldwide, royalty-free license to display, reproduce, and share it in connection with our store and products, including our marketing, subject to applicable law and privacy rights. We may use service providers to help us do so.

We may format or shorten a submission without changing its meaning. Private customer-service messages are not automatically licensed for advertising under this section.

Submissions must reflect genuine experiences and must not infringe another person’s rights, disclose someone else’s private information without permission, or contain unlawful content. Disclose any payment, free product, or other material connection relevant to a review.

We may remove spam, fraudulent reviews, unlawful content, or content unrelated to our products or services. We do not prohibit honest negative reviews or require removal of a review as a condition of providing a remedy to which a customer is entitled.

SECTION 12 — ERRORS AND CORRECTIONS

We may correct mistakes in website content, pricing, or availability. If a material error affects an order, we will contact you about the available options, which may include cancellation and a refund.

Corrections do not authorize us to charge more without consent, retroactively change accepted product promises, or avoid obligations imposed by law.

SECTION 13 — PROHIBITED USES

You may not use the Services to:

Commit fraud, make unauthorized purchases, or provide deliberately false information.

Infringe intellectual property or privacy rights.

Threaten or unlawfully harass others.

Upload malware, send spam, interfere with the website, or attempt unauthorized access.

Harvest private customer information or bypass security controls.

Use automated tools in a way that disrupts the Services, evades access restrictions, or misrepresents transactions.

These restrictions do not prohibit lawful criticism, honest reviews, accessibility tools, or ordinary search-engine indexing conducted in accordance with applicable access rules.

SECTION 14 — PRODUCT USE AND GARDENING INFORMATION

Our potting mixes and compost are intended for gardening and horticultural use, not for human or animal consumption.

Follow the instructions and precautions on each product’s label. Avoid breathing dust, wash your hands after handling, and keep stored products away from children and pets. Contact us before use if the directions or intended applications are unclear.

Potting mix and compost amendments are not necessarily interchangeable. Follow the directions for the particular product rather than assuming that every product can be used alone as a growing medium.

Plant performance depends on factors including plant type, existing soil, watering, light, weather, and application. Unless expressly promised, we do not guarantee a particular yield, growth rate, or survival outcome. This does not limit our responsibility for product defects, inaccurate descriptions, express warranties, or rights provided by law.

General gardening information on our website is educational and may not suit every plant or growing environment.

Customers are responsible for using, handling, and storing our products in accordance with their intended gardening purposes and the instructions and precautions provided.

To the extent permitted by applicable law, Sawgrass Organics LLC is not responsible for injury, loss, or damage caused solely by a customer’s misuse, unauthorized alteration, improper storage, or failure to follow adequate instructions and safety precautions provided with the product.

This provision does not exclude responsibility for defective products, inadequate instructions or warnings, our own negligence or misconduct, or any liability that cannot lawfully be excluded.

SECTION 15 — SUSPENSION AND TERMINATION

We may restrict or end access to the Services when reasonably necessary to address a material breach of these Terms, fraud, security risks, or legal requirements.

Termination does not remove your rights concerning earlier purchases, refunds, product warranties, or legally protected claims. Amounts lawfully owed remain payable.

Provisions that by their nature should continue, including intellectual property, customer-content licenses, liability limits, and dispute provisions, survive termination to the extent permitted by law.

SECTION 16 — WARRANTIES AND WEBSITE AVAILABILITY

We stand behind the product descriptions and express promises applicable to your purchase, including any applicable satisfaction guarantee. Our Refund Policy explains our return process. These Terms do not disclaim implied warranties applicable to our physical products or override legally required remedies.

TO THE EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS OPTIONAL DIGITAL FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE WEBSITE OPERATION.

THIS WEBSITE-AVAILABILITY DISCLAIMER DOES NOT APPLY TO THE QUALITY, SAFETY, OR CONFORMITY OF PHYSICAL PRODUCTS, AND DOES NOT CANCEL PRODUCT WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE LIMITED.

SECTION 17 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, and subject to the exceptions below, Sawgrass Organics LLC is not liable for indirect, incidental, special, or consequential economic losses arising from the Services or a purchase, including lost business profits or lost business opportunities.

Subject to those same exceptions, our total liability for other economic claims arising from a purchase will not exceed the total amount you paid for the order giving rise to the claim.

These limits apply only to economic losses. They do not apply to claims involving harm to a person or physical damage to property, or to fraud, gross negligence, or willful misconduct. Nothing in these Terms excludes or limits liability that applicable law does not allow us to exclude or limit.

These limits do not reduce refunds, express warranty remedies, or other benefits we have promised, or remedies required under consumer protection laws. If a limitation is unenforceable or a limited remedy fails of its essential purpose, the remedies required by applicable law remain available.

Excluding a claim from the limitations above does not establish that Sawgrass Organics LLC is responsible for that claim or waive any defenses available under applicable law.

SECTION 18 — INDEMNIFICATION

To the extent permitted by law, you agree to reimburse Sawgrass Organics LLC for reasonable losses and legal expenses arising from a third-party claim caused by your fraudulent or knowingly unlawful use of the Services, intentional infringement of another person’s rights, or material breach of these Terms.

This obligation applies only to the extent the claim is caused by your conduct. It does not require you to cover our own negligence, wrongdoing, product defects, or breach of these Terms, or to reimburse us merely because you make an honest complaint or assert a legal claim against us.

We will provide reasonable notice of a claim and an opportunity to participate in its defense. We will not agree to a settlement that requires payment, an admission, or another obligation from you without your consent.

SECTION 19 — SEVERABILITY

If a provision is found unenforceable, it will be limited or removed as required by law. The remaining provisions will continue to apply to the extent they can operate lawfully without it.

SECTION 20 — WAIVER AND ENTIRE AGREEMENT

A delay or failure to enforce a right does not waive that right.

These Terms, the policies incorporated into them, and the specific product and order terms accepted at purchase form the agreement concerning the Services and your purchase. They do not override express product warranties or representations that applicable law makes binding.

If terms conflict, mandatory law controls, followed by specific product or order promises, the policy addressing the particular subject, and these general Terms.

SECTION 21 — ASSIGNMENT

You may not transfer your contractual obligations under these Terms without our consent, except where permitted by law.

We may transfer this agreement as part of a legitimate business reorganization, merger, or sale, provided the transfer does not reduce your existing rights or relieve the business of obligations concerning your purchases. Any transfer of personal information remains subject to our Privacy Policy and applicable law.

SECTION 22 — GOVERNING LAW AND DISPUTES

These Terms are governed by Florida law and applicable federal law. This choice does not deprive consumers of mandatory protections provided by the law of their place of residence.

Unless applicable law requires or permits otherwise, disputes will be brought in the state courts located in Duval County, Florida, or the federal courts serving that county, as appropriate. Each party consents to those courts’ jurisdiction to the extent permitted by law. This section does not restrict nonwaivable rights to use another court or eligible small-claims forum.

We encourage you to contact support@sawgrassorganics.com so we can try to resolve concerns. Contacting us first is not a condition of exercising your legal rights. These Terms do not require arbitration or waive the right to participate in a class action.

SECTION 23 — HEADINGS

Headings are provided for convenience and do not change the meaning of these Terms.

SECTION 24 — CHANGES TO THESE TERMS

We may update these Terms for future use of the Services. We will update the date above and provide notice of material changes, and obtain consent, when required by law.

Changes do not retroactively alter the terms of an accepted order or an existing dispute without your agreement, except where a change is required by law. The version applicable when your order was accepted continues to govern that order.
